Please read these Terms of Use (“Terms”, “Terms of Use”) carefully before using the GigPig mobile application (the “Service”) operated by GigPig LLC (“us”, “we”, or “our”). The following Terms of Use are a legally binding contract between you and GigPig regarding your use of GigPig’s website, mobile applications, networks, and other related features or services.

Your access to and use of the Service is conditioned upon your acceptance of and compliance with these Terms. These Terms apply to all visitors, users and others who wish to access or use the Service.

If you disagree with any part of the terms then you do not have permission to access the Service.

Basic Terms

You must be at least thirteen (13) years old to use the Service. By agreeing to the Terms, you represent and warrant to us: (i) that you are at least thirteen (13) years old; (ii) that you have not previously been suspended, removed or deactivated from the Service; and (iii) that your registration and your use of the Service is in compliance with any and all applicable laws and regulations.

Additional terms, rules, and guidelines applicable to certain services and features may be posted at any given time (the “Additional Terms”). All such Additional Terms are included, and made a part of, the Terms.

Your use of the Service is subject to any additional terms, rules, and guidelines applicable to certain services and features that we may post from time to time (the “Additional Terms”). All such Additional Terms are hereby incorporated by reference into, and made a part of, the Terms. GigPig reserves the right to change the Terms at any time.

If you violate any of the Terms, your permission to use the Service will be terminated. You also agree that we may, at any time for any reason, and without notice to you, suspend or revoke your access to and use of the Service, and any accounts you may have in connection with the Service including. We will have no liability whatsoever on account of any suspension or revocation of your access to or use of the Service.

Please read the "privacyPolicy()" GigPig Privacy Policy carefully for information relating to our collection, use, and disclosure of your personal information. The GigPig Privacy Policy is hereby incorporated by reference into, and made a part of, these Terms.

You agree that you are responsible for all data charges you incur through use of the Service.

Accounts

When you create an account with us, you guarantee that you are above the age of 13, and that the information you provide us is accurate, complete, and current at all times. Inaccurate, incomplete, or obsolete information may result in the immediate termination of your account on the Service.

You are responsible for maintaining the confidentiality of your account and password, including but not limited to the restriction of access to your computer and/or account. You agree to accept responsibility for any and all activities or actions that occur under your account and/or password, whether your password is with our Service or a third-party service. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

You may not use as a username the name of another person or entity or that is not lawfully available for use, a name or trademark that is subject to any rights of another person or entity other than you, without appropriate authorization. You may not use as a username any name that is offensive, vulgar or obscene.

By creating an Account on our service, you agree to subscribe to newsletters, marketing or promotional materials and other information we may send. However, you may opt out of receiving any, or all, of these communications from us by following the unsubscribe link or instructions provided in any email we send.

User Content

Certain features of the Service may permit users to create and post original content, including messages, reviews, photos, videos, sounds, musical works, images, folders, data, text, and other types of works (collectively called, “User Content”) and to submit and publish User Content on the Service. For clarity, all photographs submitted constitute Use Content subject to the rights granted herein to GigPig and its third party assignees and/or brands. Such rights are granted not only with respect to photographs in which User appears but also extend to all individuals appearing in the photographs including, without limitation, minors.

By submitting and posting User Content, you grant GigPig and its third party assignees and/or brands a worldwide, non-exclusive, transferable, assignable, fully paid-up, royalty-free, perpetual, irrevocable right and license, with the right to sublicense, to host, transfer, publicly display, publicly perform, transmit, reproduce, modify, distribute and re-distribute, create derivative works of and otherwise exploit your User Content, in whole or in part, in any media formats and through any media channels (now known or hereafter developed) for any purpose. Subject to the terms hereof, you consent to the use of your User Content and waive any claim against GigPig and its third party assignees and brands for use of your User Content. You hereby release and discharge GigPig and its third party assignees and brands from any claims, disputes and causes of action with respect to use of the User Content by GigPig and/or its third party assignees or brands. You retain copyright and any other proprietary rights you hold in the User Content that you post to the Service.

You are solely responsible for your User Content and the consequences of posting or submitting User Content. By posting and submitting User Content, you affirm, represent, and warrant that: You are the creator and owner of, or have the necessary licenses, rights, consents, and permissions to use and to authorize GigPig and users of the Service to use and distribute your User Content as necessary to exercise the licenses granted by you in this Section and in the manner contemplated by GigPig and the Terms.

In addition, Content found on or through this Service are the property of GigPig or used with permission. You may not distribute, modify, transmit, reuse, download, repost, copy, or use said Content, whether in whole or in part, for commercial purposes or for personal gain, without express advance written permission from us.

Links to Other Web Sites

Our Service may contain links to third party web sites or services that are not owned or controlled by GigPig.

GigPig has no control over, and assumes no responsibility for the content, privacy policies, or practices of any third party web sites or services. We do not warrant the offerings of any of these entities/individuals or their websites.

You acknowledge and agree that GigPig shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such third party web sites or services.

We strongly advise you to read the terms and conditions and privacy policies of any third party web sites or services that you visit.

User Rewards

GigPig makes available through the Service Assignments (each an assignment or “Gig”) a way to earn rewards. When you complete a Gig through the Service, you may accumulate rewards in your GigPig Piggy Bank account (“Rewards”). Each Gig may be subject to Additional Terms and may be discontinued by GigPig at any time and at GigPig’s sole discretion, GigPig may: (i) determine whether or not you are eligible to complete a Gig; (ii) determine whether or not you have earned Rewards; or (iii) adjust your Rewards total.

When you have accumulated the required minimum amounts in Rewards in your GigPig Piggy Bank (as posted), you may elect to have GigPig distribute your Rewards via PayPal or other means of distribution that GigPig may make available. If your account is terminated by GigPig for any reason or if you fail to properly distribute your Rewards when closing your account, you will forfeit any earned Rewards or legal claim to those Rewards.

Depending on applicable federal, state, and local tax laws, your distribution of Rewards may be subject to taxes. You will be solely responsible for any and all tax liability arising out of your receipt of Rewards.

Rewards provided under this Section are provided solely by GigPig and not underwritten, sponsored, or provided by any other third-party, including GigPig’s brand and advertiser partners. By accepting these Terms of Use you agree to not to seek Rewards or make any claims for Rewards against third-party providers, advertisers or manufacturers of products and services.

Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms

If you wish to terminate your account, you may simply discontinue using the Service.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

Indemnification

You agree to defend, indemnify and hold harmless GigPig and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password; b) a breach of these Terms, or c) Content posted on the Service.

The Service is owned and operated by GigPig. The visual interfaces, graphics, design, compilation, information, computer code (including source code or object code), products, software, services, and all other elements of the Service provided by GigPig (the “Materials”) are protected by United States copyright, trade dress, and trademark laws, international conventions, and all other relevant intellectual property and proprietary rights, and applicable laws. Except for any User Content that is provided and owned by users of the Service, all Materials contained in the Service are the property of GigPig or its subsidiaries or affiliated companies and/or third-party licensors. All trademarks, service marks, and trade names are proprietary to GigPig or its affiliates and/or third-party licensors. Except as expressly authorized by GigPig, you agree not to sell, license, distribute, copy, modify, publicly perform or display, transmit, publish, edit, adapt, create derivative works from, or otherwise make unauthorized use of the Materials. GigPig reserves all rights to the Materials not expressly granted in the Terms.

Limitation of Liability

In no event shall GigPig, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

Intellectual Property

The Service and its original content (excluding Content provided by users), features and functionality are and will remain the exclusive property of GigPig and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of GigPig.

Disclaimer

Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance.

GigPig, its subsidiaries, affiliates, and its licensors do not warrant that a) the Service will function uninterrupted, secure or available at any particular time or location; b) any errors or defects will be corrected; c) the Service is free of viruses or other harmful components; or d) the results of using the Service will meet your requirements.

Exclusions

Some jurisdictions do not allow the exclusion of certain warranties or the exclusion or limitation of liability for consequential or incidental damages, so the limitations above may not apply to you.

Governing Law

These Terms shall be governed and construed in accordance with the laws of Arkansas, United States, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements we might have had between us regarding the Service.

Changes

We reserve the right, at our sole discretion, to modify or replace these Terms at any time.

By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.
